Among other things, the complaint alleges various breaches of fiduciary duty by Repairify\u2019s executives, aided and abetted by Repairify\u2019s majority shareholder, Kinderhook Industries. \u00a0The alleged misconduct includes the impulsive termination of an employee who spoke up about serious operational problems\u2014problems that the defendants consciously allowed to fester, causing severe damage to the company.\u00a0 It also includes the defendants\u2019 blocking of the company\u2019s sale to prevent Kinderhook\u2019s investors from learning how low the company\u2019s\u00a0value had sunken.
